These Terms & Conditions ("Terms") govern access to and use of MsgMix, an AI-native WhatsApp Business CRM and WhatsApp Cloud API platform available at app.msgmix.com. By creating an account, starting a trial, or using MsgMix, you agree to these Terms.
1. The Service
MsgMix provides multitenant workspaces for WhatsApp Cloud API connectivity, shared team inbox, contacts CRM, visual chatbot / flow builder, keyword and default actions, AI chatbots, message templates, broadcast campaigns, catalogues and orders, webhooks, Meta Flows forms, widgets, short links, agent/team management, and developer REST APIs—subject to your subscription plan and feature limits.
2. Accounts & Workspaces
- You must provide accurate registration information and keep credentials secure.
- You are responsible for all activity under your account and invited agents.
- Workspace owners control roles, permissions, billing, and WABA connections.
- We may suspend accounts that pose security, abuse, or legal risk.
3. WhatsApp & Meta Compliance
You must comply with Meta's WhatsApp Business / Cloud API terms, messaging policies, template rules, opt-in requirements, and applicable local laws (including anti-spam and data protection). MsgMix is a technology provider; you remain the controller of customer communications and are responsible for content you send, contact lists you import, and how you use AI-generated replies.
4. Acceptable Use
You agree not to:
- Send spam, unlawful, deceptive, or harmful content via WhatsApp or any MsgMix channel.
- Attempt to bypass plan limits, reverse engineer, or disrupt the platform.
- Use MsgMix to violate privacy rights or process data without a lawful basis.
- Share API keys publicly or allow unauthorized third-party access.
5. Subscriptions & Fees
Paid plans are billed according to the pricing shown at purchase (monthly, yearly, or other cycles offered). Fees exclude Meta messaging costs, carrier fees, and third-party AI provider charges, which remain your responsibility. Trials convert to paid plans as disclosed at signup unless cancelled under our Cancellation Policy. Taxes may apply based on your location.
6. Intellectual Property
MsgMix software, branding, and documentation remain our property. You retain ownership of your content, contact data, and messaging materials. You grant us a limited license to host and process that content solely to provide the Service.
7. Third-Party Services
Integrations (Meta, payment gateways, AI providers, Shopify/WooCommerce webhooks, and others) are governed by those providers' terms. MsgMix is not liable for outages, policy changes, or data handling by third parties outside our control.
8. Disclaimers
The Service is provided "as is" and "as available." We do not warrant uninterrupted messaging delivery, Meta approval of templates, or specific business outcomes from AI or campaigns. To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of Liability
To the maximum extent allowed by law, MsgMix and its affiliates are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our aggregate liability for claims relating to the Service is limited to the fees you paid to MsgMix in the three (3) months preceding the claim.
10. Termination
You may cancel as described in the Cancellation Policy. We may suspend or terminate access for breach of these Terms, non-payment, or legal risk. Sections that by nature should survive (including IP, disclaimers, and liability limits) survive termination.
11. Governing Law
These Terms are governed by the laws applicable to MsgMix's primary place of business, without regard to conflict-of-law rules, unless mandatory local consumer law provides otherwise.
